Restructuring

Charltons provides high impact advice on restructuring and insolvency matters including corporate restructurings and workouts, facility and security structuring and review, statutory reorganisations including schemes of arrangement and amalgamations, distressed debt sales, insolvency advice, and unfair and fraudulent preferences. In 2000 and 2001, in the wake of the Asian financial crisis, the firm advised on the restructuring of the Hong Kong listed companies controlled by Guangdong provincial government, which at the time was the largest ever successful restructuring in Asia.

We advise companies, lenders, bondholders, financial institutions, private equity and hedge funds, distressed debt and special opportunity funds. We also advise directors and shareholders on their duties and potential liabilities arising from fraudulent trading and other statutory offences.

We advise on solutions for companies in financial difficulties, including cash-flow management, refinancing, restructuring, debt factoring and other rescue strategies. We fully understand the concerns and expectations of directors and management of distressed businesses and secured and unsecured creditors, the need to respond quickly and constructively in times of financial difficulties and the importance of working together with other professional advisers to provide integrated solutions.

Our team comprises multi-cultural and multi-lingual lawyers with considerable experience of international restructurings. In particular, our knowledge and experience of the PRC business environment helps us to coordinate restructurings, work-outs and insolvencies across greater China. The firm also has extensive personal links with firms in over 60 countries worldwide and can act as the coordinating law firm for cross border restructurings when advice from multiple jurisdictions is required.
