This webinar examined the Listing Rules requirements for notifiable transactions and connected transactions under Chapters 14 and 14A of the Main Board Rules (and the equivalent GEM Chapters 19 and 20), together with the Exchange’s latest guidance on how those rules apply to listed companies’ digital asset activities.

Key points:

  • Scope of a “transaction” for the listed company and its subsidiaries, including acquisitions, disposals, options, leases, financial assistance and joint ventures
  • Revenue-nature and ordinary-and-usual-course exemptions, and the special treatment of property and securities deals
  • Five percentage ratios under Rule 14.07 and classification as share, discloseable, major, very substantial or reverse/extreme transactions
  • Aggregation over 12 months, announcement content, pre-vetting, shareholder approval, circulars and accountants’ reports
  • Connected persons, associates, connected subsidiaries and the Exchange’s deeming powers
  • Financial assistance, Commonly Held Entities, options, continuing connected transactions, annual caps and INED/auditor confirmations
  • Fully and partially exempt connected transactions, including de minimis, securities issues and bank/non-bank financial assistance
  • Practical application of HKEX-GL 122-26 to digital assets, stablecoins, aggregation and disclosure
