Sylvia was admitted into the double degree program at University of Hong Kong through the Early Admission Scheme after obtaining 7As in the Hong Kong Certificate of Education Examination. She graduated from the University of Hong Kong with a Bachelor of Social Sciences (Government & Laws) in 2009 and a Bachelor of Laws in 2011.

Prior to joining Charltons as a solicitor, Sylvia was as a trainee solicitor in a multi-disciplined law firm, which allowed her the opportunity to work in different practice areas, including litigation & dispute resolution, commercial, banking and conveyancing. In the conveyancing department, she was tasked with ensuring clients’ compliance in relation to the Residential Properties (First-hand Sales) Ordinance and was involved in reviewing the sales brochures, price lists and sales arrangement for major property developers, as well as communicating with the Sales of First-hand Residential Property Authority on compliance issues. She also gained commercial experience by taking part in a major joint venture project involving over 10 developers. In the commercial field, Sylvia was given training in the area of Merger & Acquisition such as conducting due diligence, drafting Sale & Purchase Agreements, Share Transfers, Assignments of Shareholder’s Loans etc. She regularly assisted in providing legal advice to clients on a broad range of issues including sales contracts, deed of confidentiality and establishment of businesses and in reviewing the standard forms and client agreements for licensed corporations. In the banking area, Sylvia engaged in deals on construction loans, transfers of loan, refinancing and cross-border loans. She was given the opportunity to prepare loan agreements, mortgages, guarantees, assignments and review facility agreements, standby letters, intercreditors agreements and sub-participation agreements. The clients included some of the largest banks in both mainland China and Hong Kong and the deals often involved parties in Hong Kong, mainland China and Macau. In the area of litigation, Sylvia possesses the experience in acting for major insurers and landlord.

Sylvia’s broad experience in different areas of laws not only enabled her to develop a solid foundation in practicing law, but also equipped her with the necessary skills to face different types of clients. Sylvia’s previous experience also includes clients from mainland China, thus, she understands the usual and particular concerns, as well as the work practice of mainland clients.

Currently at Charltons, Sylvia’s practice focuses on corporate finance and commercial transactions, including public offerings and placing, spin-offs, licensing matters, regulatory compliance, mergers & acquisitions, cross-border corporate transactions, financing and security transactions.

  • Advised the sponsor on a potential spin-off and listing on the GEM Board of the Stock Exchange of Hong Kong Limited
  • Advised the joint sponsors on a potential listing of an education group on the Main Board of the Stock Exchange of Hong Kong Limited
  • Advised a leading U.S law firm on Hong Kong employment law matters
  • Advised overseas clients on their licensing application with the Securities and Futures Commission to carry out securities dealing services in Hong Kong
  • Advised a compliance adviser to a listed company in relation to the enquiries from the Stock Exchange of Hong Kong
